2. Eligibility You must be at least 18 years old and legally capable of entering into binding contracts under Bangladesh law to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. For corporate clients, the person accepting these Terms represents that they have authority to bind the organization to this agreement.
3. User Accounts Account Creation Certain services (such as iTracker dashboards or custom software platforms) require you to create an account. You agree to: Provide accurate, current, and complete information Maintain the security of your password and account credentials Notify us immediately of any unauthorized access or security breach Accept responsibility for all activities under your account Account Termination We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse our services.

Service Terms Vehicle Tracking Services (iTracker) Requires installation of GPS hardware in your vehicles Monthly subscription fees apply (see itracker.com.bd for pricing) Service depends on GPS satellite signals and cellular network coverage You are responsible for ensuring proper device installation and maintenance Tracking data is stored for 12 months unless otherwise specified Software Development Projects Governed by separate project agreements outlining scope, timeline, and deliverables Payment terms specified in individual contracts Intellectual property rights defined in project agreements Source code ownership transferred upon full payment (unless otherwise agreed) Training Programs Registration required for participation Fees must be paid before course commencement Certificates issued upon successful completion Refund policy outlined in course registration terms IT Security Services Requires site assessment and customized implementation plan Service level agreements (SLAs) defined in individual contracts Emergency support availability varies by service package
5. Payment Terms Fees and Pricing Service fees are specified in individual service agreements, quotations, or on our website (e.g., iTracker pricing at itracker.com.bd). All prices are in Bangladesh Taka (BDT) unless otherwise stated. Payment Methods We accept payment via: Bank transfer Mobile financial services (bKash, Nagad, Rocket) Credit/debit cards (where applicable) Cash (for local services) Invoicing and Due Dates Invoices are issued according to agreed payment schedules. Payment is due within the specified period (typically 7-30 days from invoice date unless otherwise agreed). 8. Service Availability and Modifications Availability While we strive to provide reliable services, we do not guarantee uninterrupted or error-free operation. Hardware products come with manufacturer warranties as specified at the time of purchase. Disclaimer of Warranties TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: Merchantability or fitness for a particular purpose Accuracy, reliability, or completeness of information Uninterrupted or error-free service Security from unauthorized access or data breaches GPS tracking accuracy or real-time availability GPS Tracking Limitations iTracker GPS accuracy depends on satellite signals, cellular coverage, device functionality, and environmental factors. We do not guarantee: Continuous real-time tracking without interruption Precise location accuracy in all conditions Vehicle recovery in case of theft (though tracking significantly aids recovery)
11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY BANGLADESH LAW: Excluded Damages IFAD IT LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING: Lost profits or revenue Business interruption Data loss (beyond our backup capabilities) Reputation damage Vehicle theft or loss (despite GPS tracking services) Liability Cap Our total liability for any claims arising from our services shall not exceed the amount you paid us in the 12 months preceding the claim. Exceptions These limitations do not apply to: Death or personal injury caused by our negligence Fraud or fraudulent misrepresentation Violations of consumer protection laws that cannot be waived Other liabilities that cannot be excluded under Bangladesh law

We are not responsible for: Third-party service availability or performance Third-party privacy practices or data handling Changes to third-party services affecting our offerings Your use of third-party services is subject to their own terms and conditions.
14. Force Majeure We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including: Natural disasters (floods, earthquakes, cyclones) War, terrorism, or civil unrest Government actions or regulatory changes Labor strikes or disputes Internet or telecommunications failures Pandemic or epidemic events

16. Dispute Resolution Governing Law These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Negotiation First If a dispute arises, both parties agree to first attempt resolution through good-faith negotiation for at least 30 days. Arbitration If negotiation fails, disputes shall be resolved through arbitration in Dhaka, Bangladesh, under the Arbitration Act, 2001. The arbitrator's decision shall be final and binding. Court Jurisdiction For matters not subject to arbitration, the courts of Dhaka, Bangladesh shall have exclusive jurisdiction.
17. General Provisions Entire Agreement These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and IFAD IT LTD. Severability If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.
